These Terms and Conditions govern your use of the BearBoul website and the engagement of our digital agency services.
1. Service Agreements & Business Models
BearBoul operates under two primary service models:

The Pay-Per-Sale Model: BearBoul absorbs the upfront cost of web development, marketing, and funnel creation. In exchange, the client agrees to pay a predefined commission percentage on every verified sale generated through BearBoul’s infrastructure. BearBoul retains ownership of the web assets, domains, and ad accounts created under this model until a buyout agreement is reached.

Traditional Project-Based Services: Services such as custom software development, standalone web builds, and AI automation are billed on a flat-fee or milestone basis. Ownership of deliverables transfers to the client upon full payment.
2. Client Responsibilities
For the Pay-Per-Sale model, the client is solely responsible for inventory management, product quality, order fulfillment, and resolving end-user disputes. BearBoul is a digital marketing and infrastructure partner, not the seller of record. If a client fails to fulfill orders, BearBoul reserves the right to terminate the partnership immediately.
3. Intellectual Property

Client Assets: You retain all rights to your pre-existing brand assets, logos, and proprietary products.

BearBoul Assets: Under the Pay-Per-Sale model, the website code, ad creatives, AI workflows, and funnels built by BearBoul remain the intellectual property of BearBoul. Clients may not duplicate, reverse-engineer, or migrate these assets without a formal buyout.
4. Limitation of Liability
BearBoul provides services “as is.” We do not guarantee specific revenue targets, uninterrupted website uptime, or immunity from third-party platform bans (e.g., Meta or Google account restrictions). BearBoul shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services.
5. Governing Law
These terms are governed by the laws of Bangladesh. Any disputes arising out of these terms will be subject to the exclusive jurisdiction of the courts in Sylhet, Bangladesh.
